Please read this End-User License Agreement carefully. By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the software.

This End-User License Agreement ("EULA") is a legal agreement between:

• You (either an individual or a single entity) - "Customer" or "Licensee"
• Vladonai Software LLC - "Licensor"

AllMyNotes Organizer Lite (Free Version)

You are granted a perpetual, free license to use AllMyNotes Organizer Lite with no time limitations. This license is user-based, allowing you to:

• Install and use the Lite version on multiple computers where you personally work (workplace PC, home computer, laptop, USB drive, etc.)
• Use the software indefinitely at no cost

AllMyNotes Organizer Deluxe (Premium Version)

You are granted a 30-day trial period to evaluate the Deluxe version. After the trial period:

• You must purchase a Deluxe license to continue using premium features, OR
• Downgrade to the free Lite version

User-Based Licensing: A purchased Deluxe license is valid for the individual customer, allowing installation and use on multiple computers where you personally work simultaneously (workplace, home PC, laptop, USB drive, etc.). The license cannot be used by multiple different users simultaneously.

Purchased Deluxe licenses may be transferred to another person by contacting support@vladonai.com with:

• Your order number
• New owner's name and email address (for registration)
• Confirmation that you've uninstalled the software

All title and copyrights in and to the SOFTWARE PRODUCT are owned by Vladonai Software LLC. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions.

You may:

• Make backup copies of the SOFTWARE PRODUCT for archival purposes
• Install the SOFTWARE PRODUCT on multiple computers as per your license type
• Use our free 24/7 license restore service when needed

You may NOT:

• Reverse-engineer, decompile, or disassemble the SOFTWARE PRODUCT
• Modify, alter, or create derivative works based on the SOFTWARE PRODUCT
• Remove or alter any copyright, trademark, or other proprietary notices
• Share your license with other users simultaneously
• Distribute, rent, lease, or sublicense the SOFTWARE PRODUCT

We provide a 30-day trial period for thorough evaluation of the Deluxe version.

Refunds may be provided within 14 days of purchase at our discretion in cases of technical issues preventing software use.

To request a refund, contact support@vladonai.com with your order number and reason.

Vladonai Software LLC respects your privacy and complies with GDPR, CCPA, and other applicable data protection regulations. All data you enter into AllMyNotes Organizer remains stored locally on your computer and never leaves your device.

NO WARRANTIES: The SOFTWARE PRODUCT is provided "AS IS" without warranty of any kind.

To the maximum extent permitted by applicable law, Vladonai Software LLC disclaims all warranties, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and any warranty against infringement.

MAXIMUM LIABILITY CAP: In no event shall Vladonai Software LLC's total liability to you for all damages, losses, and causes of action exceed the amount actually paid by you for the SOFTWARE PRODUCT license.

TIME LIMITATION: Any claims against Vladonai Software LLC must be brought within the applicable statute of limitations in your jurisdiction, but no later than two (2) years from the cause of action.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES: To the maximum extent permitted by applicable law, in no event shall Vladonai Software LLC be liable for any indirect, special, incidental, or consequential damages whatsoever, including but not limited to:

• Loss of business profits, business interruption, or loss of business information
• Any other pecuniary loss arising from use or inability to use the SOFTWARE PRODUCT
• Loss of data or data corruption

Note: Some states do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

Governing Law: This agreement is governed exclusively by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict of law principles, regardless of Customer's location.

Mandatory Arbitration: Any disputes, claims, or controversies arising out of or relating to this agreement shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in Pennsylvania under its Commercial Arbitration Rules.

Class Action Waiver: Customer agrees to resolve disputes individually and expressly waives any right to participate in class actions, collective actions, or representative proceedings.

Jurisdiction: If arbitration is unavailable, any legal proceedings shall be conducted exclusively in state or federal courts located in Pennsylvania, and Customer consents to personal jurisdiction and waives any objection to venue.
